1. 接受条款

访问或使用 JClaw 即表示您同意本条款及隐私政策。若您代表组织使用 JClaw，您确认已获得相应授权。不同意时请停止使用。

2. 账号与使用资格

JClaw 不开放公开注册，仅限 iHouse Japan 公司内部使用，账号由组织管理员发放。JClaw 主要供获得组织授权的员工和协作人员使用。您应提供真实信息、保护登录凭据并对账号下的活动负责。发现账号被盗用或异常访问时，应立即通知管理员或我们。账号不得转让或共享给未授权人员。

3. 合理使用

您不得利用 JClaw 从事违法、侵权、欺诈、骚扰、破坏系统安全、未经授权访问、传播恶意代码、批量抓取或干扰其他用户的行为。组织管理员可依据内部政策配置权限、保留业务记录并对违规账号采取限制措施。

4. 您的内容

您和所属组织保留对上传内容的合法权益。为运行 JClaw，您授权我们在提供、传输、备份、检索和保护服务所必要的范围内处理这些内容。您应确保有权上传和共享相关内容，并遵守所在组织的保密与数据管理规定。

5. 智能功能

JClaw 的智能助手、转写、摘要和建议可能存在不准确、遗漏或延迟，不应作为法律、财务、医疗或其他专业意见。对重要决定，您应核对原始资料并由具备相应权限的人员确认。

6. 第三方服务

Google 登录、Google Workspace、Mattermost、LiveKit、云存储等第三方能力受相应服务商条款约束。第三方服务中断、变更或撤销授权可能导致相关 JClaw 功能暂时不可用。

7. 服务变更与可用性

我们会合理维护 JClaw，但不保证服务始终不中断或完全无误。为安全、维护、法规或产品改进，我们可能调整或暂停部分功能，并在合理可行时提前通知。

8. 知识产权

除用户内容外，JClaw 的软件、界面、品牌及相关材料由我们或许可方拥有。未经书面许可，不得复制、反向工程、转售或以超出正常使用范围的方式利用。

9. 暂停与终止

当账号离职停用、组织终止服务、违反条款、产生安全风险或法律要求时，我们或组织管理员可暂停或终止访问。终止后的数据处理依照隐私政策、组织要求及适用法律执行。

10. 责任边界

在适用法律允许的最大范围内，JClaw 按现状提供。我们不对间接、附带、特殊或后果性损失承担责任。法律不允许排除的责任不受本条限制；其他责任应限于与实际损害具有合理因果关系的范围。

11. 适用法律与争议

本条款适用日本法律。争议应先通过诚信协商解决；协商不成时，在法律允许范围内，以东京地方裁判所为第一审专属合意管辖法院。

1. 規約への同意

JClaw を利用することで、本規約およびプライバシーポリシーに同意したものとみなされます。組織を代表して利用する場合、必要な権限を有することを確認してください。

2. アカウントと利用資格

JClaw は一般公開の新規登録を受け付けておらず、iHouse Japan の社内専用です。アカウントは組織の管理者が発行します。JClaw は主に組織から許可された従業員および協力者向けです。正確な情報を提供し、認証情報を保護し、アカウント上の活動に責任を負うものとします。不正利用を発見した場合は直ちに管理者または当社へ通知してください。

3. 適正利用

違法行為、権利侵害、詐欺、嫌がらせ、セキュリティ侵害、不正アクセス、マルウェア配布、大量収集、他の利用者への妨害は禁止します。組織管理者は内部方針に基づき権限や業務記録を管理できます。

4. 利用者コンテンツ

利用者および所属組織は、アップロードしたコンテンツに関する正当な権利を保持します。JClaw の提供、送信、バックアップ、検索および保護に必要な範囲で、当社が当該コンテンツを処理することを許可するものとします。

5. AI 機能

AI アシスタント、文字起こし、要約および提案には誤り、欠落または遅延が生じる場合があります。法律、財務、医療その他の専門的助言ではありません。重要な判断は原資料を確認し、権限のある担当者が承認してください。

6. 外部サービス

Google Sign-In、Google Workspace、Mattermost、LiveKit、クラウドストレージ等には各提供者の規約が適用されます。中断、仕様変更または許可の取消しにより関連機能が利用できない場合があります。

7. 変更と可用性

当社は合理的な維持に努めますが、常時無停止または完全な無誤動作を保証しません。安全、保守、法令または改善のため機能を変更・停止する場合があります。

8. 知的財産

利用者コンテンツを除き、JClaw のソフトウェア、画面、ブランドおよび資料は当社またはライセンサーに帰属します。書面による許可なく複製、リバースエンジニアリング、再販売等を行うことはできません。

9. 利用停止・終了

退職等によるアカウント無効化、組織契約の終了、規約違反、安全上の危険または法令上の要請がある場合、当社または組織管理者は利用を停止・終了できます。

10. 責任の範囲

適用法令で許される最大限の範囲で、JClaw は現状有姿で提供され、当社は間接的、付随的、特別または結果的損害について責任を負いません。法令上排除できない責任はこの限りではありません。

11. 準拠法・管轄

本規約は日本法に準拠します。協議で解決できない紛争については、法令で許される範囲で東京地方裁判所を第一審の専属的合意管轄裁判所とします。

1. Acceptance

By accessing or using JClaw, you agree to these Terms and the Privacy Policy. If you use JClaw for an organization, you confirm that you are authorized to do so. Do not use JClaw if you do not agree.

2. Accounts and eligibility

Public sign-up is not available. JClaw is for iHouse Japan internal use only, and accounts are issued by the organization administrator. JClaw is primarily for employees and collaborators authorized by an organization. You must provide accurate information, protect your credentials, and take responsibility for activity under your account. Promptly report suspected unauthorized access. Accounts may not be transferred or shared with unauthorized people.

3. Acceptable use

You may not use JClaw for unlawful, infringing, fraudulent, harassing, or harmful conduct; security attacks; unauthorized access; malware distribution; bulk scraping; or interference with other users. Organization administrators may configure permissions, retain business records, and restrict accounts under internal policies.

4. Your content

You and your organization retain lawful rights in content you upload. You permit us to process that content only as necessary to provide, transmit, back up, retrieve, and protect JClaw. You must have the right to upload and share content and must follow your organization’s confidentiality and data rules.

5. Intelligent features

Assistant output, transcripts, summaries, and suggestions may be inaccurate, incomplete, or delayed and are not legal, financial, medical, or other professional advice. Verify source material and obtain authorized human approval for important decisions.

6. Third-party services

Google Sign-In, Google Workspace, Mattermost, LiveKit, cloud storage, and other integrations are also governed by their providers’ terms. An outage, change, or revoked authorization may make related JClaw features unavailable.

7. Changes and availability

We reasonably maintain JClaw but do not guarantee uninterrupted or error-free operation. We may modify or suspend features for security, maintenance, legal compliance, or product improvement and will provide notice when reasonably practical.

8. Intellectual property

Except for user content, JClaw software, interfaces, branding, and materials belong to us or our licensors. You may not copy, reverse engineer, resell, or exploit them beyond normal authorized use without written permission.

9. Suspension and termination

We or your organization administrator may suspend or terminate access after offboarding, service termination, a Terms violation, a security risk, or a legal requirement. Post-termination data handling follows the Privacy Policy, organizational requirements, and applicable law.

10. Limitation of liability

To the fullest extent permitted by law, JClaw is provided as available and we are not liable for indirect, incidental, special, or consequential loss. This does not exclude liability that cannot legally be excluded; other liability is limited to loss reasonably caused by the relevant breach.

11. Governing law and disputes

These Terms are governed by the laws of Japan. The parties will first seek a good-faith resolution. Where legally permitted, the Tokyo District Court has exclusive jurisdiction as the court of first instance.
